This License Agreement is a binding agreement between you and DARA Audio LLC (“DARA Audio,” “we,” “us”). By installing, activating, or using DARA, you agree to it. If you do not agree, do not use DARA and, if eligible, request a refund under the Refund Policy.
Definitions
“DARA” means the DARA application, audio driver, engine, bundled components, documentation, and updates we provide under this agreement. “You” means the individual or organization that obtained the license. A person accepting for an organization confirms that they have authority to bind it.
License grant
Subject to payment and this agreement, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, perpetual license to install and use DARA on up to two devices at a time that you own or control. Personal and commercial use is allowed, including creating, recording, streaming, and publishing your own content. “Perpetual” means the license has no fixed end date; it remains subject to this agreement and its termination terms.
If an organization purchases the license, its personnel may use DARA on the organization's licensed devices for its work. The organization is responsible for their compliance. The device limit applies to the organization as a whole, not separately to each person.
Activation and license key
Keep the license key private. You are responsible for activity under it. View active devices, release a device, or move the license in Settings → License. After three device activations or moves, you may need to wait until the current 30-day activation window resets. Releasing a device does not undo an activation already counted in that window.
Internet access is required for activation, device management, and updates. Core mixing works offline after activation. The installed license does not require a periodic online refresh, but a material device change or a new installation may require activation again.
Restrictions
Except where applicable law or a third-party license permits otherwise, you may not:
- Share, sell, rent, sublicense, transfer, or publish DARA or the license key.
- Copy, modify, bundle, redistribute, or host for download any part of DARA without written permission.
- Remove or alter copyright, license, or attribution notices.
- Reverse engineer, decompile, or disassemble DARA.
- Bypass or defeat activation, device limits, license checks, or security controls.
- Separate the driver, engine, or other component for use in another product or service.
Your audio and content
You keep all rights in audio, scenes, presets, settings, and other content you create or process. This agreement gives DARA Audio no ownership of that content. You are responsible for having the rights and permissions needed for your recordings, streams, plugins, and other material, and for keeping appropriate backups.
Third-party plugins
DARA can host compatible third-party plugins. Their developers provide their licenses, support, accessibility, privacy practices, and compatibility. A plugin may connect to its own services or process information independently. Review its terms before use.
Updates and online services
You may install updates we make available for this license at no additional charge. Updates may add, change, or remove features and may have different system requirements. We do not promise a particular update, feature, release schedule, support period, or future compatibility.
A perpetual license does not mean that downloads, activation services, update delivery, or support will remain available indefinitely. Ending an online service does not by itself terminate an already activated license.
DARA ownership
DARA Audio and its licensors retain all rights in DARA, including its software, driver, engine, interface, documentation, trademarks, and branding. DARA is licensed, not sold. No rights are granted except those stated in this agreement.
Third-party components
DARA includes components governed by separate licenses. Those licenses control where they grant rights that differ from this agreement. Each public release must include the applicable version-specific attributions and license texts. The Third-party Notices page covers the website fonts and explains how to request a missing application notice.
Privacy
Our Privacy Policy explains information involved in purchases, activation, updates, website delivery, and support. DARA processes audio locally and does not send it to us.
Termination
You may end the license by stopping use and uninstalling DARA. We may end it for a material breach. If the breach can be corrected, we will give you a reasonable opportunity to correct it first, unless immediate action is reasonably needed for fraud, security, unlawful conduct, or harm. The license also ends when the purchase is refunded, charged back, or otherwise reversed. An offline installation receives a changed license status the next time it contacts the license service or accepts a trusted license update.
After termination, stop using and uninstall DARA and delete copies in your control. Terms that by their nature should continue—including ownership, warranty disclaimers, liability limits, and general terms—remain in effect.
Warranty disclaimer
Except for promises expressly made in these terms and to the extent permitted by law, DARA and its online services are provided “as is” and “as available.” DARA Audio disclaims express, implied, and statutory warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted or error-free operation or compatibility with every device, driver, plugin, application, or future version of Windows.
Some jurisdictions do not allow certain disclaimers. This section does not reduce guarantees or consumer rights that cannot legally be waived.
Limitation of liability
To the extent permitted by law, DARA Audio is not liable for indirect, incidental, special, consequential, or exemplary damages, or for lost data, audio, recordings, streams, business, revenue, or profits, arising from DARA or this agreement. To the extent permitted by law, DARA Audio's total liability arising from DARA or this agreement will not exceed the amount paid for the license.
These limits do not apply to DARA Audio's fraud, gross negligence, willful misconduct, death or personal injury caused by negligence, or liability that applicable law does not allow us to exclude or limit. Some jurisdictions provide additional rights, so some limits may not apply to you.
Lawful use and export
You must use DARA lawfully. You may not purchase, use, export, re-export, or transfer DARA in violation of applicable export-control or sanctions laws.
Governing law
This agreement is governed by the laws of the State of California, United States, without regard to its conflict-of-laws rules. Courts located in that state have jurisdiction unless applicable consumer law gives you the right to bring a claim elsewhere or requires another law or forum.
Changes to this agreement
We may revise this agreement for future purchases by posting a new effective date. A revised agreement applies to an existing license only when you accept it or when applicable law permits the change.
General terms
If a provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will continue. A delay in enforcing a right is not a waiver. This agreement, the Terms of Sale, and the Refund Policy are the agreement about your purchase and use of DARA and replace earlier statements on those subjects.
